Banking and Finance

Our Banking and Finance team handles a broad variety of finance work for lenders, including banks, and borrowers.

This ranges from handling documentation at the larger Loan Market Association (LMA) end of the market through to advising on various clients’ standard loan, security and intercreditor documentation and whether for new facilities, refinancings or debt restructurings (where we will work closely with our Business Restructuring team).

Whilst we typically handle deals in the fields of corporate lending, acquisition finance and real estate finance, we have been seeing more work in specialist areas like asset-based lending and venture debt where we have deep insights into the expectations of the market participants. In addition, much of our work supports private-equity structures and many clients’ ongoing debt finance requirements.

We have acted for a number of highly leveraged private equity-backed buy-out and special purpose property vehicles, entailing debt for equity swaps, intercreditor arrangements, hedging product claims, cross-border and tax mitigation issues.

Our real estate finance offering benefits from the very close liaison between our Banking and Finance and Real Estate teams which enables us to offer a fully integrated service to clients which include a number of leading bank and non-bank lenders.

Recent Experience

  • Advising a long-standing bank client on its refinancing of a multi-tenanted central city office block.
  • Advising a car parts business on its rescue refinancing by its major stakeholder including a receivables facility.
  • Advising a major casual dining group on its LMA senior term refinancing with HSBC incorporating a CBILS facility.
  • Advising a client on an LMA senior revolving credit acquisition facility provided by Clydesdale.
  • Advising a private equity provider and the board of a packaging group in connection with the increase of their existing loan facilities (via amendment and restatement of their existing loan facilities) to fund a proposed corporate acquisition.
  • Advising a private equity provider and the board of a manufacturer in connection with the senior debt (via an LMA senior term and revolving loan facility and junior debt (via the issuing of loan notes) being advanced to fund a proposed corporate acquisition.
  • Advising a private equity provider and the board of a [furniture] manufacturing company in connection with the provision of a senior CBILS loan facility and the granting of additional junior debt as additional working capital.
  • Advising a lender in relation to a bilateral term loan facility of around advanced to a property developer for the purposes of refinancing their existing indebtedness.
  • Advising a lender in relation to a bilateral real estate development term loan facility in connection with the development of a new hotel.
  • Advising a fintech company in relation to the increase in its existing syndicated revolving credit facilities.
