Identicare announces its spinout as an independent business

Monday 4th March, 2024

The Marriott Harrison team were pleased to act for minority shareholder and CEO of Identicare, Robert Diamond, on Identicare’s transition to becoming an independent business, after Animalcare Group disposed of its majority shareholding for a consideration of £24.9 million as part of a transaction that valued the Identicare business at £30 million.

Identicare is a UK-based pet protection business, founded in 1989 by Animalcare, supporting pet-owners across the UK as the largest and longest-established microchipping database. Identicare’s move away from Animalcare will allow Identicare to establish even further the growth of its pharmaceutical-based animal health market. This disposal marks a strategic repositioning of the business to attract specialist investors and continue to support the UK’s pet owners through a range of products and services.

Ian Morris, Partner at Marriott Harrison, commented on the deal, “We were delighted to act on another transaction, providing independent legal and tax advice to management in a private equity backed transaction. The transaction adds to our management credentials in what we see as an increasingly important area for our mergers and acquisitions team. We wish the business every success with its transition.”

As an independent business, Identicare now receives backing from Bridgepoint, the international growth investor based in the UK.

Ian Morris led the Marriott Harrison team which included Ben Cole (Corporate), Katerina Heal and Michael Hansby (Tax).
