Corporate

The Corporate Department continues to advise on a large number of international transactions. This includes advising:

  • the sellers of a UK music production and distribution company to an American-based, French-owned multinational music corporation;
  • a UK social media company on the demerger and transfer of its business to a new Delaware incorporated company;
  • the sellers of an American tax compliance software provider to an American financial information services company;
  • a Nigerian-based goods manufacturer, on its contractual arrangements with various multinational drinks companies;
  • a UK mineral exploration and development company, in requesting its broker to enable the company to undertake exploration at its projects in western Australia and Nevada USA;
  • a Canadian based solar energy provider on its application for consent to build a solar farm in the UK;
  • the sellers of a UK online business directory service to a NASDAQ listed provider of internet services and online marketing solutions for small businesses;
  • a global gaming company, creator of a popular mobile gaming app, with a further fundraising;
  • a South American Consulate in connection with acquiring a new residence in the UK;
  • a South American Aeronautical Commission in relation to a number of its contractual arrangements;
  • a group of Ukrainian and Brazilian investors in connection with the set up of a new sportswear company;
  • a Danish nutrients and supplements business on the acquisition of one of Europe’s leading manufactures of dietary supplements and natural medicine; and
  • the African division of a global telecoms company in its share re-organisation of a UK subsidiary.

Banking

Our international banking work has included:

  • advising a Spanish commercial bank on the transfer of its tranche of a syndicated LMA loan facility;
  • advising a global Spanish financial institution in connection with a proposed debt restructuring of a group of companies with security interests in the UK; and
  • advising shareholders of a Channel Island holding company with natural resource assets based in the USA, in its equity and debt reorganisation with an international bank.

Media, Technology & IP

The Media and Technology Department has advised:

  • an AIM-listed media company on its acquisition from a California holding company of a catalogue of 6,000+ classic sound recordings;
  • a Canadian music publisher on a number of issues relating to the exploitation of rights in its catalogues in the UK and Europe;
  • a New York based distributor of domestic electrical appliances in relation to arrangements for its supplies from a UK manufacturer;
  • a major US based charitable foundation on its support for a number of web-based projects in Africa that support disadvantaged children;
  • a Canadian heritage recording artist on global recording and music publishing agreements;
  • a Canadian writer-producer on copyright and other matters pertaining to exploitation of their productions in the UK and EU;
  • a Dutch record company in relation to various matters pertaining to its ownership of a catalogue of UK sound recording copyrights;
  • an independent UK film and TV production and sales company on various agreements for international distribution and exploitation of its catalogue of motion pictures;
  • on numerous contentious issues arising with regard to the use of domain names and trade marks in international commerce including advising on ICANN arbitration procedures for resolution of disputes;
  • a UK film and TV advertising commercials production company on various matters pertaining to its international arrangements for commissioned audio-visual productions;
  • a New York based development and preproduction studio on protection of its trade marks in the EU; and
  • a UK music channel on arrangements for overseas licensing of its brand and programming.

Dispute Resolution

MH Dispute Resolution has been:

  • advising an internet search optimisation specialist in a claim against a Guernsey-based supplier of products via the internet;
  • advising a major Far East commodities trading company in connection with: (i) a dispute relating to its exclusive distributor of Russian sourced metals; and (ii) losses suffered by it on the purchase of exotic metals contaminated with asbestos;
  • advising South American government entities in connection with issues relating to the purported service on them of High Court proceedings; and
  • advising in connection with claims advanced against a client in connection with contracts for the building of stadia for the 2014 World Cup.

Real Estate

The MH Real Estate Department has continued to act for:

  • a Malaysian Bank based in Kuala Lumpur, on its ongoing secured lending transactions in the UK; and
  • a Saudi Arabian bank based in Riyadh, on its secured lending transactions in the UK.

The Corporate Department continues to advise on a large number of international transactions. This includes acting for:

  • a Qatari investment fund on various educational holdings and investments in the UK;
  • an international stadia group on its deal for the provision of ticketing and catering services to a well-known Spanish football club;
  • a South American Aeronautical Commission in Europe in relation to a number of its contractual arrangements;
  • a South American Embassy and Consulate General on various commercial matters;
  • an Irish IT/technology company in connection with a further fundraising from existing equity providers and other shareholders and in connection with a new facility and security arrangements with a London branch of a US bank;
  • a UK gaming company in its new revolving credit and term loan facility with a London branch of US bank with warrants to subscribe for stock in its US parent;
  • a nominated adviser and broker in its role as nomad and broker to a resource company which undertook a placing and open offer to fund capital expenditure to restart mining activities in Tanzania;
  • a Nigerian based goods manufacturer, on its contractual arrangements with various multinational drinks companies;
  • a US fund management client on the providing of legal opinions to a Greek Bank in connection with its credit facility agreements;
  • a Danish client on the re-structuring of its UK subsidiaries;
  • a cornerstone American investor on its new venture in the sports and leisure industry;
  • an American software services provider, as the company’s UK Counsel, in relation to the acquisition of a UK software solutions provider in the media industry;
  • a corporate vehicle issuing bonds, the proceeds of which include investment in international commercial property;
  • certain managers of an operating company in relation to a farm-out agreement relating to certain natural resource assets based off the coast of South Africa; and
  • a major shareholder on the group demerger of an executive search business with offices in the UK, US and Hong Kong.

  • a music label on various royalty and moral rights issues in a number of European territories;
  • a New York based import/export business on trading issues in the UK;
  • a Toronto based heavy metal band, on its recording and publishing deal;
  • long-standing film production client on its international distribution of films;
  • a Swiss based financial services company in connection with the online promotion of its brand;
  • an Israeli based online TV platform on its content licensing arrangements with UK based archives;
  • a Dutch based music publisher on copyright issues in the UK; and
  • a manufacturer of sporting equipment on various competition rules with regard to the exploitation of its products in Europe.

Tony Morris also acted as an arbitrator on:

  • a dispute between Hollywood Studios and a European film distributor; and
  • a dispute between two international technology providers on a claim for misuse of confidential information and trade secrets.

The Corporate Department continues to advise on a large number of international transactions. This includes acting for:

  • a Brazilian multinational energy corporation on the closure of its ESEP Branch in London;
  • the Brazilian Aeronautical Commission in Europe on various cross border purchase contracts for the supply of goods and services to the Brazilian Air Force;
  • a global educational provider in connection with the creation of a new Luxemburg based schools fund;
  • a Seattle based technology company on further elements of the “Cut the Rope” mobile app game;
  • an individual from the Kingdom of Saudi Arabia in respect of the sale of a BVI company which was a special purpose vehicle owning property in London;
  • iconic Brazilian Fashion Designer, Daniella Helayel on her departure from Issa London Limited;
  • a private equity house on obtaining Sharia compliant acquisition finance from The Bank of London and The Middle East plc in relation to the purchase of a neuro-rehabilitation business;
  • a private equity fund in its secured borrowing arrangements with a German investor;
  • the sellers of an English company specialising in IT cloud solution Google applications to a venture capital backed purchaser incorporated in Delaware;
  • an oil and gas exploration company on its listing on the AIM market. The company has key assets in Oman, Zambia and Namibia and the offer document was made available to investors in the U.A.E.;
  • the selling management on the sale of a well known coffee brand company to a major Swedish coffee roaster;
  • a long standing venture capital fund client on its sale of the largest owner of digital rights in the U.K. to a Swedish media firm; 
  • A BVI holding company in its mezzanine fundraising with investors based in Gilbraltar, South Africa and the U.K.

Commercial and Media

The Commercial and Media Department has advised:

  • a British rock band in connection with a breach of contract dispute regarding a performance cancellation in Nepal;
  • a long standing, independent film making client on its international distribution of movies;
  • an independent book publisher on a copyright infringement matter in Germany;
  • an Israeli online technology company on various IP licences with a number of U.K. based archives;
  • a New York based nightclub on a passing off and trade mark infringement matter in the U.K.;
  • an AIM listed digital content provider in connection with a rights ownership dispute over its global classical music range;
  • the Nike Foundation on its ongoing Girl Hub initiative in Ethiopia; and
  • a U.K. based recording, repackaging, and rights distributor regarding its overseas licences.

Dispute Resolution

MH Dispute Resolution has been:

  • advising a well-known Japanese manufacturing entity on the effect of contractual hardship clauses;
  • advising a major Far East commodities trading company in respect of the recovery of a debt under a loan agreement which included an arbitration clause (the judgment in this matter, awaiting approval by the Judge, is expected to have a significant affect on the drafting of loan agreements); and
  • advising the French purchaser of a luxury yacht which burst into flames on its first major voyage.
